Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of the Sourcery HR website, platform, and related services (collectively, the “Services”) operated by Trisma LLC (“we,” “our,” or “us”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
If you are using the Services on behalf of a healthcare organization, you represent that you have the authority to bind that organization to these Terms.
Description of Services
Sourcery HR provides human resources management software and related services designed for healthcare organizations. The Services include:
- Cloud-based HR platform accessible via web browser
- Employee records and credential management
- Compliance monitoring and audit trail functionality
- Digital onboarding and time-off management
- Performance review and development tools
- AI-powered HR assistant
- Technical support and platform maintenance
Account Registration and Security
To access the platform, your organization must register for an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized access or security breach
- Accept responsibility for all activity under your account
- Not share login credentials between users
Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable law or regulation
- Access or attempt to access another user’s account without authorization
- Interfere with or disrupt the integrity or performance of the Services
- Attempt to reverse engineer, decompile, or disassemble any part of the platform
- Use the Services to store or transmit malicious code or harmful content
- Circumvent any access controls, security measures, or usage limits
Data Ownership and Privacy
Your Data
You retain all rights to the data you enter into the platform, including employee records, credential information, and organizational data. We do not claim ownership of your data. Upon termination of your account, you may request an export of your data in a standard format.
Our Platform
The Sourcery HR platform, including its design, code, features, documentation, and branding, is the intellectual property of Trisma LLC. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described herein.
HIPAA Compliance
Sourcery HR is designed to support compliance with the Health Insurance Portability and Accountability Act (HIPAA). We execute a Business Associate Agreement (BAA) with each customer organization as applicable. You remain responsible for ensuring your use of the Services complies with HIPAA and all applicable regulations.
Payment Terms
Pricing, billing frequency, and payment terms are outlined in your service agreement. Fees are billed in advance on a recurring basis unless otherwise agreed. We reserve the right to adjust pricing with 30 days’ written notice.
Limitation of Liability
To the maximum extent permitted by law, Trisma LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Services. Our total liability shall not exceed the amounts paid by you in the twelve (12) months preceding the claim.
Disclaimer of Warranties
The Services are provided “as is” and “as available” without warranties of any kind. Sourcery HR is a software tool that assists with HR management. All employment decisions remain the responsibility of your organization.
Termination
Either party may terminate these Terms in accordance with the service agreement. Upon termination, you may request an export of your data within 30 days. We will delete your data within 90 days of termination, except as required by law.
Governing Law
These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Franklin County, Ohio.
Changes to These Terms
We may update these Terms to reflect changes in our Services or legal requirements. We will notify active subscribers of material changes at least 30 days before they take effect.
